1. Scope and definitions

These Terms apply to the Siglata website, browser application, hosted command and query surfaces, hosted MCP service, and related documentation and exports that refer to these Terms. By using the Service, you agree to these Terms and the policies incorporated into them.

In these Terms, Customer means the person or organization that accepts an order or uses the Service; Organization means the customer authorization boundary; and Content means files, revisions, drafts, spreadsheets, prompts, agent instructions, outputs, metadata, and other material submitted to or produced through an Organization.

  • Service includes the features made available for the applicable plan, order, or evaluation, including human and agent access.
  • Customer is responsible for the people, agents, hosts, and integrations it authorizes to act for its Organization.

2. Eligibility and accounts

You must be able to enter a binding agreement where you live and must use the Service for a business or other lawful purpose. If you accept for an organization, you represent that you have authority to bind it and that the organization will comply with these Terms.

Authentication may use a magic link or an authorized OAuth or MCP flow. You are responsible for protecting sign-in links, credentials, tokens, connected clients, and Organization membership, and for promptly reporting suspected unauthorized access.

  • Keep account and Organization information accurate and current.
  • Use separate, authorized accounts and connected clients rather than sharing credentials or access tokens.
  • Owners and administrators are responsible for invitations, roles, connected agents, and permissions they grant.

3. Customer Content and license

Customer retains its rights in Customer Content. Customer grants Estirpia a non-exclusive, worldwide, limited-term license to host, store, reproduce, transmit, display, transform, analyze, and otherwise process Customer Content only as needed to provide, secure, support, maintain, and improve the Service, to comply with law, and to carry out the documented instructions of Customer.

This license includes creating content-addressed revisions, drafts, audit records, exports, and computation results requested by Customer. Estirpia does not acquire ownership of Customer Content through this license.

  • Customer must have the rights, permissions, notices, and lawful basis needed to provide Content and to direct its processing.
  • Customer must not submit secrets, regulated data, or other sensitive material unless the Service and the applicable agreement are suitable for it.
  • Estirpia does not use Customer Content, prompts, or agent instructions to train general-purpose AI models.

4. Agents, instructions, and human review

Customer may connect an agent or host through an authorized integration. Agent instructions, prompts, tool calls, and resulting changes are Customer-directed activity. Customer is responsible for reviewing instructions and results, configuring scopes, and deciding whether an agent is appropriate for a particular workflow.

Siglata records the human principal and client identity for applicable operations and uses Organization roles and confirmation steps for specified high-impact membership changes. A review or confirmation step helps a person inspect a proposed action; it does not make the action accurate, lawful, or suitable, and it does not replace Customer's own review.

  • Check an agent's requested scopes, target Organization, plan, inputs, and outputs before approving or relying on a change.
  • Customer remains responsible for instructions that are ambiguous, unsafe, discriminatory, infringing, or inconsistent with its obligations.
  • Third-party agents, model providers, and host applications have separate terms and privacy practices; Estirpia makes no provider-specific training or safety promise for them.

5. Acceptable Use Policy

The Acceptable Use Policy is part of these Terms. Customer must not use the Service, Content, agents, or connected clients in a way prohibited by that policy, and must ensure that people and agents acting through its Organization do the same.

Estirpia may investigate suspected misuse and may limit, suspend, or terminate access when reasonably needed to protect people, the Service, Customer data, or third parties, or to comply with law.

  • Use the Service only for lawful, authorized, and non-abusive activity.
  • Do not bypass access controls, rate limits, plan restrictions, review steps, or security boundaries.

6. Service changes and availability

The Service is evolving and may change as features are developed, retired, corrected, or replaced. Estirpia may modify interfaces, limits, supported formats, dependencies, and documentation, while taking reasonable account of an applicable order or agreement.

The Service may be unavailable or degraded because of maintenance, security events, provider or network failures, capacity, emergency work, or factors outside Estirpia's control. No uninterrupted availability, error-free operation, or recovery time is promised unless an applicable written agreement expressly says otherwise.

  • Features may refuse unsupported, malformed, oversized, or unsafe inputs rather than execute them implicitly.
  • Customer should keep independent copies of important Content and review exported results before relying on them.
  • Changes to a third-party service or connected agent can affect the Service without making that third party an Estirpia agent.

7. Pre-commercial orders and pricing

Unless an order or other written agreement says otherwise, the Service is offered on a pre-commercial or evaluation basis. Product pages and estimates describe planned or current options and are not a promise that a particular feature, plan, price, or capacity will remain available.

An applicable order or agreement controls the purchased features, fees, billing dates, usage limits, taxes, payment terms, and any service commitments. No refund, credit, or renewal term is promised unless that order or agreement expressly provides it.

  • Pricing may change for a future order or renewal with the notice stated in the applicable commercial terms.
  • Customer is responsible for taxes and charges imposed on its purchase except taxes on Estirpia's net income.

8. Intellectual property

Estirpia and its licensors retain all rights in the Service, software, interfaces, documentation, designs, trademarks, and non-customer materials. These Terms grant Customer a limited right to use the Service during the applicable term and do not transfer Estirpia intellectual property.

Customer retains rights in Customer Content and owns the Content-derived exports and results to the extent its rights in the underlying Content permit. Open-source and third-party materials remain subject to their own licenses.

  • Do not remove proprietary notices or use Siglata marks in a way that suggests endorsement.
  • Customer may give feedback without restriction; Estirpia may use feedback without payment or confidentiality duties for that feedback.

9. Confidentiality

Each party may receive non-public information from the other party that is marked confidential or should reasonably be understood as confidential. The receiving party will use it only for the relationship, protect it with reasonable care, and disclose it only to personnel, contractors, and service providers who need it and are bound by confidentiality duties.

Confidential information does not include information that is public without breach, already known without duty, independently developed, or lawfully received from another source. A party may disclose information when required by law after giving notice where legally permitted and reasonably cooperating with a protective request.

  • Customer Content is confidential to Customer, subject to the processing permissions and disclosures in these Terms, the Privacy Policy, and an applicable DPA.
  • Neither party receives a promise that confidentiality rules override a lawful disclosure obligation.

10. Disclaimers

To the extent permitted by law, the Service is provided as available and without warranties not expressly stated in an applicable written agreement. Estirpia does not warrant that the Service will satisfy every business requirement, produce a particular result, preserve every unsupported feature, or remain available without interruption or defects.

Siglata is not legal, financial, accounting, medical, employment, safety, or other professional advice. Customer must validate Content, calculations, formulas, agent instructions, outputs, exports, and decisions before using them in a consequential context.

  • Security practices are designed to reduce risk but are not an absolute guarantee against unauthorized access, loss, or interruption.
  • Customer is responsible for its source data, configuration, connected services, and decisions based on Service output.

11. Liability

To the extent permitted by law, neither party is liable to the other for indirect, incidental, special, consequential, exemplary, or punitive loss, or for lost profits, revenue, goodwill, or anticipated savings, arising from the relationship. This exclusion does not apply where applicable law does not permit it.

Any liability cap, if one is needed, will be stated in the applicable order or written agreement. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited, including liability for fraud or deliberate misconduct where the law forbids that limitation.

  • Mandatory consumer or other non-waivable rights remain unaffected.
  • The parties may allocate specific risks differently in an executed commercial agreement.

12. Indemnity

To the extent permitted by law, Customer will defend and indemnify Estirpia and its personnel against third-party claims arising from Customer Content, Customer's instructions or use of agents, Customer's breach of these Terms or the Acceptable Use Policy, or Customer's violation of law or another person's rights.

The indemnified party will give reasonably prompt notice, provide reasonable cooperation, and allow Customer to control the defense and settlement, except that Customer may not settle a claim in a way that admits fault for or imposes an obligation on the indemnified party without consent.

  • Indemnity does not transfer Customer's responsibility to review or secure its Content.
  • A party's cooperation obligations are subject to reasonable confidentiality and privilege protections.

13. Suspension and termination

Customer may stop using the Service and may close an Organization through available controls. Estirpia may suspend or restrict access when reasonably necessary for security, legal compliance, misuse, non-payment under an applicable order, or protection of the Service or another person. Estirpia will use reasonable judgment about the scope and duration of a restriction.

On termination, rights to use the Service end, but provisions that by their nature should continue remain in effect. Customer should export available Content before termination. Estirpia may retain or delete Content and related records according to the Privacy Policy, an applicable DPA, Customer controls, legal obligations, disputes, security needs, and legitimate audit requirements.

  • A suspension does not waive Customer's payment or confidentiality obligations unless the applicable agreement says so.
  • Closing or terminating an Organization may revoke access before all related records or backups are removed under applicable retention criteria.

14. Applicable law and competent courts

The applicable order or written agreement may identify the governing law and competent courts for a relationship. If it does not, disputes will be handled by a court competent under the law that mandatorily applies to the dispute. These Terms do not select a governing jurisdiction or waive mandatory rights.

Before starting a formal proceeding, the parties should send a written description of the dispute to the contact address below and try in good faith to resolve it, unless urgent relief or applicable law makes that step inappropriate.

  • Nothing in this section prevents a party from seeking urgent protective or injunctive relief where a competent court permits it.
  • Mandatory local consumer, employment, privacy, or similar protections remain available where they apply.

15. Changes and contact

These Terms are effective on September 3, 2026. Estirpia may update them by posting a revised version with a new effective date and, where appropriate, by providing notice through the Service or to an account contact. Continued use after the effective date means the revised Terms apply prospectively, except where applicable law requires another process.

  • The version accepted in an order or written agreement controls where it expressly differs from these public Terms.
  • A revised policy will not silently change an executed commercial commitment unless the applicable agreement allows that change.
